terms of service
This is the working agreement between you and 100 Partners LLC. It is how we work, what each path includes, what it does not, and the legal terms (confidentiality, billing, IP). Send this page. Paying, starting work, or clicking to agree means you accept it.

// 1 · who we are
100 Partners LLC ("100 Partners", "we", "us") sells partner-program services and related tools. Tyler Gillespie ("TG") is the founder and the person you work with. You are the company or person buying or using those services.
Questions: tg@100.partners.
// 2 · how you accept
You agree to these Terms when you do any of the following:
- pay for a service (including Stripe checkout or an invoice)
- check a box or click a button that says you agree
- start using the service after we send you these Terms
If you buy for a company, you confirm you have authority to bind that company. These Terms apply to everyone who uses the service under your seat.
If a checkout page, invoice, or signed order names a different fee, path, or term for that purchase, that document controls for those named items. Everything else in these Terms still applies.
// 3 · how we work
This is the operating rhythm. It applies to every paid path unless your order says otherwise.
we are practitioners, not a slide shop
We install a working partner program: economics, terms, partner HQ, recruiting, activation, collaborations, and reporting. We do not sell hourly advice as a default, and we do not sell an audit or a strategy memo as a standalone product. If you buy one-on-one consulting, the scope is written on the order. If you buy a Sprint, the Sprint is the product.
cadence
- A kickoff call starts the engagement. We confirm the path, the named point of contact on your side, access, and the first week's work.
- Working sessions are weekly in the first month unless we agree otherwise. After that, cadence follows the path: Sprint sessions, group sessions, or the call count on your consulting order.
- Day to day happens in Slack (or the channel we confirm). That is the working inbox. Email is for invoices, legal, and anything that must be on the record.
- Work lands in Hundo and in the shared Drive (or the workspace we confirm). Those are the system of record, not side chats.
who does the work
TG leads the engagement. The 100 Partners team and our tools (including Hundo and other AI systems) help deliver it. On done with you, we build alongside your operator and you execute. On done for you, we execute recruiting, activation, and collaborations. On one-on-one consulting, we advise and produce what the order names. We do not become your employee, your partnerships hire, or a joint venturer.
approvals
Anything that faces your partners or the public (your partner terms, public pages, outreach in your name, pricing, commission rates) waits for your written okay. Internal drafts, research, and working notes do not.
response time
We work in English, on business days, typically America/Bogota time. Slack and email get a reply within two business days on active paid work. That is not a 24/7 desk. Emergencies go to tg@100.partners.
sessions
Cancel or move a session with at least 12 hours' notice and we reschedule. A no-show, or a cancel inside 12 hours, counts as the session used. We may record sessions for our notes. Recordings stay confidential under section 12. Ask if you do not want a recording.
if you go quiet
The paid term still runs. We will ping the named contact. If we cannot get what we need (access, approvals, homework) for 14 days, we may pause active work until you return. Pausing does not pause billing for time already started, and it does not extend a 90-day Sprint unless we both agree in writing.
scope
The path you bought is the scope. New work (a second brand, a marketplace, a hiring project, a product launch) is a new order or a written change. We will say so out loud rather than quietly absorbing it.
// 4 · the three paths
Current public Sprint prices live on 100.partners/invite. Workshops and other listed products sell at the price shown at checkout. One-on-one consulting is quoted in writing.
one-on-one consulting
Scoped work with TG: strategy calls, written recommendations, and Slack for the paid window. The fee, the number of calls, the dates, and the deliverables are the ones on your invoice or written order. This is not the Sprint. We do not recruit, activate, or operate your program on this path unless the order says we do.
A one-off strategy session is consulting. A short advisory block is consulting. If the work turns into installing the program, we move you onto done with you or done for you and bill that path.
done with you
The 100 Partners Sprint, run alongside your team. We install the program with you over 90 days (eight levels: audit, design, foundation, recruit, activate, collaborate, nurture, analyze). You keep the wheel. We coach, build the system with you, and give you the tools. After the first 90 days, continuing is Growth: same quarterly fee, operating and growing the program you installed.
done for you
The same 90-day Sprint, but we run recruiting, activation, and collaborations on your behalf. You still own product truth, approvals, and access to your systems. The 10% performance fee in section 7 applies on this path.
workshops and other listed products
One-off sessions or products sold at the price shown at checkout. What you get is what that checkout page lists. Workshop access is not a Sprint seat.
A Sprint is a company seat: relevant people at your company may join on one membership. It is not a personal license you can transfer to another company.
We do not sell hourly consulting as a menu item, audit-only engagements, or strategy-only retainers with no written scope. The audit is Level 1 of the Sprint, not a separate product. One-on-one consulting is the exception, and only when the scope is on the order.
// 5 · what is included, what is not
If a row below disagrees with your written order, the order wins for that purchase.
one-on-one consulting
included
- the calls named on the order
- the written deliverables named on the order
- Slack or email during the paid window
- Hundo access only if the order says so
not included
- the Sprint install (all eight levels)
- us running outreach, recruiting, or partner operations
- unlimited follow-up after the paid window
- your software, ads, or a partnerships hire
done with you
included
- the 90-day Sprint and the eight-level playbook
- Hundo, your AI partnership copilot
- access to TG and the 100 Partners team (sessions + Slack)
- the sprint library: playbooks, scripts, templates, skills
- an initial data-mining pass to start the partner list
- assets we write for your brand (one-pagers, outreach, partner terms drafts, FAQ)
- weekly working sessions in month one, then the cadence we confirm
- a company seat for relevant people at your company
- private Slack community access, when that community is running
not included
- us sending the outreach or operating the program for you
- your tool subscriptions, data access, enrichment, email cleaning, or outreach spend (see below)
- ad spend, list buys, or paid distribution
- your lawyer reviewing the documents we draft
- hiring, managing, or replacing your partnerships person
- product, engineering, or pricing work on your product
- a guaranteed partner count or revenue number
On done with you, your team does the execution. If homework sits, the Sprint sits.
done for you
included
- everything in done with you
- we run the recruiting engine and partner outreach
- we activate and onboard partners toward a first referral
- we build and run collaborations (webinars, launches, bundles) that you approve
- week-over-week execution by TG and the team
not included
- we cannot recruit or close partners if you block access or approvals
- your tool subscriptions, data access, enrichment, email cleaning, outreach spend, or legal review (same as done with you)
- us becoming your full-time hire or taking a title at your company
- work for a second brand or product unless the order says so
- a guaranteed partner count or revenue number
Tools, data, and lists. Our team will do an initial data-mining pass to get the partner list started. After that, you provide and pay for the tools and data the work needs. That includes access to your existing data, data enrichment, email cleaning, outreach and sending tools, partner platforms, CRMs, inboxes, and domains. We do not buy or carry those subscriptions, credits, or data costs unless a written order says we do. If access or a required tool is missing, that part of the work waits.
Not included on any path, unless the order says otherwise:
- software, data, and sending costs you need to run the program (partner platform, outbound, enrichment, email cleaning, email domains, CRM)
- media spend, sponsorships, events, or swag
- legal, tax, or employment advice. Drafts we write are working drafts. Your counsel reviews what you publish.
- representing you as an employee or signing contracts in your name
- resale or transfer of Hundo, playbooks, or community access to another company
// 6 · fees and billing
Unless a written order says otherwise, current Sprint fees are:
| path | fee | how it bills |
|---|---|---|
| one-on-one consulting | the amount on your invoice or written order | due as the order says, usually in advance |
| done with you | $10,000 per quarter (shown as $3,333 / month) | charged once per 90 days, in advance |
| done for you | $10,000 per month, plus the 10% performance fee in section 7 | retainer charged monthly, in advance; 10% invoiced after we can see the numbers |
Minimum commitment on a Sprint is 90 days. Done with you is one quarterly charge of $10,000. Done for you is three monthly retainers ($30,000) plus any 10% that becomes due. We do not split a quarter into monthly installments on done with you to make a sale easier. Consulting has no 90-day minimum unless the order sets one.
Prices are in US dollars. Taxes, if any, are extra. Payment is processed by Stripe or by invoice. Failed or late payment can pause access to Hundo, Slack, sessions, and our work until the balance is current.
Fees already charged for time that has started are not refundable. Cancel with at least 7 days' notice before the next billing date and you will not be charged for the next period (section 8). The 10% fee in section 7 can still come due after you cancel. See the tail.
// 7 · the 10% performance fee
This section applies to done for you only, unless a written order adds it to another path.
what the 10% is
You pay us 10% of Partner Commissions generated in the program we installed or operate for you.
Partner Commissions means the cash commissions (and other cash partner payouts) you owe partners on sales, subscriptions, expansions, or other paid conversions attributed to those partners. Our fee is 10% of that commission pool. It is not 10% of your company's total revenue. It is not 10% of the partner-attributed revenue itself.
Example. Partners earn 10% and they drive $100,000 in revenue that month.
- partner commissions generated: $10,000
- you pay 100 Partners 10% of that $10,000: $1,000
If the program generates no partner commissions, this 10% is zero. If your partner rate is different (for example 20%), the commission pool changes and our 10% follows that pool.
how we attribute it
Attribution follows the tracking you agree to use with us (for example Dub, Stripe, or your own partner platform). A sale is attributed to a partner when that system records the partner as the source, or when both of us agree in writing that it was partner-driven. The commission on that sale is what goes into the pool.
You will give us view access to that tracking, or send a monthly report we can verify (revenue attributed, commissions generated, our 10%). If tracking is missing, broken, or withheld, we may reasonably estimate Partner Commissions from the records we do have, and invoice that estimate. You can dispute an estimate with better records within 15 days of the invoice.
when you pay it
We invoice the 10% in arrears, usually monthly, after we can see the period's numbers. Payment is due within 15 days. Unpaid 10% is a debt. It does not disappear if you pause or cancel the retainer.
the tail
Partner revenue usually shows up after the first 90 days, not during them. So the 10% does not stop on the day the engagement stops.
After your paid done-for-you work ends, the 10% keeps running for a period equal to the length of that paid work, counted from the end date, and the whole 10% period (during plus after) is capped at 12 months from the start of your first paid done-for-you month.
| you pay us for | the 10% runs for |
|---|---|
| 3 months | those 3 months, then 3 more after you stop (6 months total) |
| 6 months | those 6 months, then 6 more (12 months total) |
| 12 months | 12 months (the cap) |
During the tail you still owe reports and payment. You do not owe the monthly retainer unless you keep that path.
// 8 · term, pause, and cancel
A Sprint starts when you pay (or on the start date we confirm in writing) and runs in 90-day units. After the first 90 days, the relationship continues only if you pay the next period (Growth on done with you; another month on done for you).
Consulting starts and ends on the dates in the order. Unused calls do not roll forward unless the order says they do.
To cancel a recurring subscription, email tg@100.partners at least 7 days before the next billing date. We will confirm in writing and stop the renewal. You keep the period you already paid. No refund for time that has started.
If notice arrives less than 7 days before the billing date, we will still cancel the subscription, but the upcoming renewal runs in full. You pay it and we deliver that next period. On done with you and Growth, that is the next quarter. On done for you, that is the next month (or the rest of the 90-day minimum if you are still inside it).
A pause uses the same 7-day rule. Pausing does not wipe fees already due, including any 10% that is already earned or still in a tail.
We can suspend or end the service if you do not pay, if you misuse the community or tools, or if continuing would be unlawful or harmful to other members. If we end it for non-payment, earned 10% and the tail still apply.
// 9 · no guarantees
We do not guarantee partner count, revenue, pipeline, or any other result. 100 partners and 10 to 20% of ARR in 12 months are the goal of the method, not a promise to you. Results depend on your market, offer, team, and the work that gets done.
The first 90 days of a Sprint are a proving ground. That is as far as we can ethically promise: we will run the Sprint with you (or for you, on done for you) using the same playbooks we use elsewhere. The outcome is not guaranteed.
// 10 · your job
You will:
- name one point of contact who can give approvals and get us access
- give us the access, approvals, and information we need to do the work
- provide and pay for the tools and data the work needs after the initial data-mining pass (enrichment, email cleaning, outreach, partner platform, CRM, inboxes)
- keep partner tracking installed and honest
- pay on time
- make sure your team uses Slack, Hundo, and sessions in a professional way
- not share member community content, Hundo access, or Sprint materials with people outside your company
On done with you, your team does the execution. On done for you, you still own approvals, product truth, and access to systems. On consulting, you own whether you use the advice.
// 11 · tools, access, and ip
access we need
You may give us logins or invites to tools such as Slack, your partner platform (for example Dub), Stripe, outbound, enrichment, email cleaning, analytics, Drive, or your CRM. We use that access only to deliver this engagement. Treat credentials as confidential (section 12). When the engagement ends, revoke our access. We will remind you if you forget.
who pays for tools and data
We mine an initial list. You own the stack after that. Subscriptions, credits, enrichment, cleaning, outreach tools, and data access sit on your accounts and your card. If we recommend a tool, you buy it (we can share a partner or discount link when we have one). We will not put your program on a 100 Partners subscription.
tools we use
We use software and contractors to deliver the work, including Hundo, AI systems, and the 100 Partners team. They see your information only as needed to do the job, and they are under the same confidentiality rules. We do not sell your information. See the privacy policy.
who owns what
Hundo, the Sprint library, playbooks, templates, skills, and our methods stay ours. You get a limited license to use them for your company's partner program during the paid term (and, for materials we built specifically for you, after the term for that same company).
You own your customer data, your partner lists, and the assets we write specifically for your brand (your one-pagers, your outreach copy, your agreements with your partners). We may keep anonymized lessons from the work.
Do not resell, publish, or productize our playbooks, Hundo, or internal tools as your own offering.
// 12 · confidentiality and nda
This section is the mutual non-disclosure agreement. It applies as soon as we start talking about the work, including before you pay, and it survives the end of the engagement.
what is confidential
Your confidential information includes non-public facts about your business: revenue, pricing, customers, partner lists, pipeline, product plans, credentials, recordings, and anything you mark confidential or that a reasonable person would treat as confidential.
Our confidential information includes Hundo, the Sprint library, unpublished playbooks and templates, pricing we have not posted, other customers' identities and data, and our internal methods.
the promise
Each of us will:
- keep the other's confidential information confidential
- use it only to evaluate or run this engagement
- share it only with people who need it for that purpose (employees, contractors, tools) and who are bound to keep it confidential
- not share one customer's information with another customer. We do not cross-reference customers.
what this does not cover
Information that is already public, that the receiving party already had, that it develops on its own without using the confidential information, or that it must disclose by law (we will give notice if we legally can). Residual knowledge (what someone remembers without notes or files) may be used; that is not a license to copy your documents or lists.
how long
The duty lasts for the engagement and for three years after it ends. Credentials and personal data stay protected for as long as we hold them. Trade secrets stay protected as long as they remain trade secrets.
when it ends
On request at the end of the work, each of us will return or delete the other's confidential files that we still hold, except copies we must keep for tax, legal, or billing (including any 10% tail). Those leftover copies stay under this section.
publicity
We may name you as a customer (company name and logo) unless you ask us in writing not to. We will not publish your private numbers without your okay.
// 13 · liability
The service is provided as-is. To the fullest extent the law allows, we are not liable for lost profits, lost revenue, lost data, or indirect damages.
Our total liability for any claim related to the service is capped at the fixed fees you paid us for the 90 days before the claim (the quarterly or monthly retainers or the consulting fee, not the 10%). Nothing here limits liability that the law does not let us limit (for example, fraud).
You will cover us for claims that come from your product, your partners, or your misuse of the service.
// 14 · changes
We can update these Terms. The new version applies to new purchases and to renewals after we post it at 100.partners/tos. A fee change does not rewrite a period you already paid. If a change is material and you are mid-term, it applies on your next renewal unless we both agree sooner.
// 15 · general
We are an independent contractor, not your employee, partner, or joint venturer. These Terms, plus any checkout or order for a specific purchase, are the whole agreement on that purchase.
You may not assign this agreement without our written okay. We may assign it to a successor of the business.
If a court throws out one part, the rest stays. A waiver of one breach is not a waiver of the next.
These Terms are governed by the laws of the United States. If a court needs a state, use the state of organization of 100 Partners LLC. Disputes will be handled in English.
A signed order or a later written agreement can add to these Terms. It does not replace them unless it says it does.
This page is a working agreement, not legal advice to you. If you need counsel to review it, use yours.
